VendoLink is an e-commerce platform that enables sellers to create beautiful storefronts and connect with customers. One of our core values is to pursue deliberate simplicity — so we've tried to distill our terms and conditions into their simplest, most accessible form here.

1. Welcome to VendoLink!

It's great to have you here. These Terms & Conditions ("Terms") govern your use of our services which include VendoLink, our apps and related software or features (collectively referred to as the "Platform" or "VendoLink").

When we use terms like "we," "our," or "us" in these Terms, we're talking about VendoLink and our parent company.

By using VendoLink, you're agreeing to these Terms. Please take the time to read these Terms carefully, and feel free to get in touch if you have any questions. If you don't agree with these Terms, please don't use VendoLink.

2. Changes to these Terms

VendoLink is constantly evolving and improving. From time to time we may make changes to the Platform or these Terms. We may need to change these Terms to reflect business updates, changes to the Platform, legal or commercial reasons, or otherwise to protect our legitimate interests.

If we make a change that will have a material negative effect on you, we'll use our best efforts to notify you at least one (1) month before the change takes effect. Your continued use of the Platform after any changes to the Terms is taken as your acceptance of the revised Terms.

If you don't agree with the changes, we ask you to please stop using VendoLink and terminate your account.

3. Your Account

To create an account and become a VendoLink seller, you agree to comply with these Terms and confirm that you're over 18 and legally able to accept these Terms. You must provide us with accurate information about yourself.

You're responsible for the security of your account and ensuring it is only used in a lawful manner. We recommend that you create a strong password and do not share this with anyone. If you think your account has been compromised, please contact us immediately.

You must not assign or transfer your account to someone else or use your account in a way which causes damage to VendoLink or our reputation, or infringes another's rights or applicable laws and regulations.

4. Your Username

When you create a VendoLink account, you'll need to choose a suitable username that respects everyone's rights. We understand your username holds significance, but it must also be appropriate for all users and avoid infringing on anyone's rights, including intellectual property rights like copyright and trademarks.

You can't use someone else's name, like a celebrity or brand, or pick a username that's offensive, vulgar, or inappropriate.

If you haven't logged in or seen traffic on your account for the past 6 months, we may, in our discretion, reclaim or reassign your username without notice.

5. Managing Your Plan

You can sign up to VendoLink on our monthly subscription plan at $9.99/month and cancel at any time. By initiating your first subscription fee payment, you authorize us to charge you recurring subscription fees on an ongoing basis.

UNLESS YOU NOTIFY US OF YOUR INTENT TO CANCEL YOUR SUBSCRIPTION, YOU ACKNOWLEDGE THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE US TO AUTOMATICALLY CHARGE YOUR PAYMENT METHOD FOR THE AMOUNT OF YOUR SUBSCRIPTION FEE AND ANY APPLICABLE TAXES ON EACH PERIODIC RENEWAL DATE.

If you cancel your paid plan, it will ordinarily continue until the end of your current billing cycle. To the extent permitted by applicable law, payments are non-refundable. However, if you've selected a paid plan but cancel within 72 hours, we may, in our discretion, make an exception.

If you would like to permanently delete your account, remember that if you delete your account, you won't be able to reactivate it or retrieve any of the content or information you have added to your profile.

6. Your Content and Products

When we talk about your "content", we mean the text, graphics, videos, product images, descriptions, and any other materials you add to your VendoLink storefront. You're responsible for your content and you warrant that:

  • The content you post is yours, or if you're using third-party materials, you have the necessary rights to share them on VendoLink
  • Your content will not infringe on anyone's privacy, publicity, intellectual property, or any other rights
  • Your content is accurate and honest: it shouldn't be misleading, deceptive, or violate any laws
  • Your content is free from harmful elements like viruses or disruptive code that could damage the Platform or other systems
  • Your products comply with all applicable laws and regulations in the jurisdictions where you offer them for sale

7. Payment Processing

VendoLink uses third-party payment processors to handle transactions between you and your customers. When a customer purchases a product from your storefront, you are the seller of record, which means:

  • You are responsible for fulfilling orders, providing customer service, and handling refunds
  • You are responsible for the accuracy of product descriptions, pricing, and availability
  • You are responsible for compliance with all applicable laws regarding sales, taxes, and consumer protection
  • You are responsible for any chargebacks or disputes related to your transactions

VendoLink is not a party to transactions between you and your customers and has no liability for products sold through your storefront.

8. Fees and Payment

Subscription fees are billed in advance on a monthly basis. At the end of each billing cycle, your paid plan will automatically renew unless you decide to cancel.

When you sign up, you must provide accurate billing details and a valid payment method. This authorization allows us to charge the applicable fees. In case of automatic billing failure, you'll receive an invoice that needs to be settled within the specified timeframe.

We may periodically adjust subscription fees. If any changes are made, we will provide you with reasonable prior notice. If you're not in agreement with the updated fees, you have the option to cancel your plan before the next billing cycle begins.

Processing fees charged by our payment processor will be deducted from your payouts according to their fee schedule.

9. Tax Requirements

You are responsible for all applicable tax obligations related to sales made through your VendoLink storefront. This includes, but is not limited to:

  • Sales tax, VAT, GST, or other transaction taxes
  • Income taxes on earnings from your sales
  • Remitting collected taxes to appropriate tax authorities
  • Maintaining proper tax records and documentation

VendoLink may be required to collect certain tax information from you and report earnings to tax authorities as required by law. You agree to provide accurate tax information when requested.

10. Suspension or Termination of Your Account

If you don't follow these Terms, we have the right to suspend or terminate your account. The steps we take will depend on the nature of the non-compliance. We may also suspend or terminate your account if required to comply with a legal requirement or court order.

If you have not logged in or seen traffic to your account for an extended period of time (for example, 6 months), we reserve the right to terminate your account without notice.

If we terminate or suspend your account under this clause, you won't receive a refund for any fees paid in advance, unless required by law. We won't be responsible for any content that is lost as a result of your account being suspended or terminated.

11. Privacy

At VendoLink, safeguarding your privacy and that of your customers is our priority. Our Privacy Policy outlines how we handle your personal data and your obligations regarding the privacy rights of your customers.

You are responsible for complying with all applicable privacy laws when collecting, storing, and processing customer information through your VendoLink storefront.

12. Intellectual Property

All rights, including intellectual property rights, related to the Platform (excluding your content) are exclusively owned by VendoLink or our licensors. You do not acquire any rights to the VendoLink platform, and you are not allowed to use our brand name, logo, or other intellectual property without our prior written approval.

As a user, we grant you a limited, revocable, non-exclusive, and non-transferable right to use the Platform for creating and managing your storefront in accordance with these Terms.

13. Liability

We want to clarify that we are not responsible for how you use the Platform, and it's crucial that you maintain backups of your own content and product data.

You agree to protect us from any losses that arise if you breach these Terms or if a third party raises a claim against us related to your content or products sold through your storefront.

Neither of us will be liable for indirect, punitive, special, incidental, or consequential damages. These might include losses in business, revenue, profits, privacy, data, or goodwill.

Our liability to you under these Terms will not exceed the fees you paid us in the 12-month period before the liability emerged, or $100, whichever is greater.

14. Disclaimers

When you use VendoLink, you're doing so at your own risk. The Platform is provided "AS IS" and "AS AVAILABLE", without any warranties of any kind. VendoLink and its licensors do not make any warranties or representations that:

  • The Platform will function uninterrupted, securely, or be available at any time or place
  • Any errors or defects will be corrected
  • The Platform is free of viruses or other harmful components
  • The results of using the Platform will meet your needs

These Terms apply to the maximum extent permitted by law and nothing in them is intended to exclude legal rights that you may have which cannot be excluded by contract.

15. Third-Party Services

VendoLink integrates with various third-party products and services, including payment processors, shipping providers, and other tools. Your use of any third-party products or services is subject to their separate terms and conditions and privacy policies.

We do not endorse or make any warranties about any third-party products or services, nor do we offer refunds for payments made to third parties.

16. General Terms

These Terms constitute the full agreement between you and us regarding the Platform. If any part of these Terms is deemed invalid, it will be removed, but the rest will remain in effect.

Our decision not to enforce any part of these Terms won't be seen as a waiver of any provision or right.
